Details of the Acquisition

Under the terms of the agreement, Kenvue shareholders will receive $3.50 per share in cash and 0.14625 shares of Kimberly-Clark for each Kenvue share held. Based on Kimberly-Clark’s closing price on October 31, 2025, this equates to $21.01 per Kenvue share, representing a significant premium over Kenvue’s recent trading price.

Upon completion, existing Kimberly-Clark shareholders will own approximately 54% of the combined entity, while Kenvue shareholders will hold the remaining 46%. The merger is expected to close in the second half of 2026, pending regulatory approvals and customary closing conditions.

Strategic Implications

The combined company will boast a portfolio of iconic brands, including Kimberly-Clark’s Huggies, Kleenex, and Kotex, alongside Kenvue’s Tylenol, Neutrogena, and Band-Aid. This consolidation is projected to generate annual net revenues of approximately $32 billion and adjusted EBITDA of $7 billion by 2025.

Kimberly-Clark and Kenvue have identified approximately $2.1 billion in total run-rate synergies, comprising $1.9 billion in cost savings and $500 million in revenue synergies, partially offset by $300 million in reinvestments. The transaction is anticipated to be accretive to Kimberly-Clark’s adjusted earnings per share by the second year post-closing.
